My understanding (without going back and re-reading the 
bylaws) is that the BOD is initially selected by the 
incorporators.  That's almost certainly a j.c employee, but 
the thing has got to be kick-started by someone. After a 
year, the BOD goes up against the wall for a membership 
vote, much like the recent Council vote.

The only BOD member currently is Jim Barry?  Is that 
correct?

In the transcript of the last conference, I was impressed 
with him.  He seemed to have a good grasp of the IM space, 
the technology, and said some very smart things.  The man 
does not appear to be a tool, in any sense of the word.  
Rather, he appeared to be a smart, well-spoken person with 
good insights.  

Plus, this guy has open source chops.  There's a brief bio 
of him on the collab.net site.
