I am not an expert in US non-profit law, but I did some research and think we need to to
clearly distinguish between two functions that are different in nature: on the one hand,
the registered agent, and on the other, the executive director.
It is true that we could contract with a registered agent that is not a
natural person or U.S. citizen. Companies like Wolters Kluwer offer this
service.
If we want to keep the U.S. domicile but also establish a European
presence, then it would be helpful to clearly delineate the various
roles that I currently perform (registered agent, treasurer, bookkeeper,
etc.). Then we could contract with various entities to perform some or
all of these services, at some cost that is yet to be determined.
However, my preference is to move the entire organization to Europe,
since that is the location of just about every potential volunteer,
board member, council member, etc. It seems that the XSF's ties to the
U.S. have become more and more tenuous over the years, and I remain
concerned trying to maintain our U.S. domicile is not very sustainable.
